General Terms and Conditions

1.     General Provisions

1.1        These general terms and conditions (hereinafter referred to as „Terms“) govern the rights and obligations between Novplasta, s.r.o., Cerovská 152, 900 81 Šenkvice (hereinafter referred to as „Seller“) and customers (hereinafter referred to as „Buyer“) in the sale of products, services, or goods (hereinafter referred to as „Goods“).

1.2        The Terms are binding for both contracting parties from the moment of the purchase contract conclusion.

 

2.     Contract Conclusion

2.1        A purchase contract is concluded at the moment the Seller confirms the order, unless the Buyer rejects it in writing within two working days from its delivery.

2.2        Orders must be submitted in writing, electronically, or by telephone and must contain all necessary information for the delivery execution.

 

3.     Subject of the Contract

3.1        Under the purchase contract according to point 2, the Seller commits to delivering Goods based on the Buyer’s orders. The Seller has the right to outsource some production processes if necessary.

3.2        The Buyer commits to accepting the Goods and paying the agreed price to the Seller.

3.3        If the Seller confirms the order with a more detailed specification or any additions, reservations, restrictions, or other changes, the Buyer must express their disagreement with such changes to the Seller in writing within two working days of receiving the Order Confirmation. If the Buyer does not do so, it is assumed that they accept the detailed specification, additions, reservations, restrictions, or other changes.

3.4        Late changes to the order, specifications, quantity, or order cancellations will only be acceptable if production has not yet started and no costs have been incurred by the Seller in connection with the order. Otherwise, the related costs will be charged to the other contracting party.

3.5        Cancellation of an order may only ever occur by written agreement of the contracting parties.

 

4.     Price and Payment Terms

4.1        The price of the Goods is determined by agreement based on the Seller’s offer and is stated in the Order Confirmation by the Seller.

4.2        The Order Confirmation also contains other business terms such as payment and delivery conditions, as well as the place of delivery.

4.3        The Buyer commits to paying the price of the Goods within the period stated in the Order Confirmation.

4.4        In case of delayed payment, the Seller has the right to charge a late payment interest not exceeding the base interest rate of the European Central Bank increased by 8 percentage points.

5.     Delivery Terms

5.1        The delivery date is determined by agreement of the contracting parties and is stated in the Order Confirmation by the Seller.

5.2        The Seller may be delayed in the delivery date if the delivery time is affected by a cause beyond its control, so-called „force majeure.“

5.3        The delivery date may be postponed if the Buyer does not provide all the necessary documents for the implementation of the purchase contract on time, especially if they do not approve the graphic materials for printing on time.

5.4        If the Seller is unreasonably delayed with the delivery for more than 14 days after the confirmed delivery date and does not communicate with the Buyer about the delay, the Buyer may propose to cancel the order according to point 3.5. of these General Terms and Conditions.

5.5        The Buyer is obliged to take or accept the Goods no later than 14 days from the delivery period stated in the Order Confirmation.

5.6        Delivery of the goods takes place at the place specified by the Buyer.

6.     Transfer of Ownership and Risk

6.1        Ownership of the Goods passes to the Buyer at the moment of full payment of the purchase price.

6.2        The risk of damage or loss of the Goods passes to the Buyer at the moment of acceptance of the Goods.

7.     Claims and Warranty

7.1        The Seller provides a warranty for the Goods for a period of 12 months from the delivery date, except for the color stability of printed products for outdoor use.

7.2        The warranty expires if the Buyer does not adhere to appropriate conditions during the transport or storage of the Goods stated in point 7.3. of these General Terms and Conditions.

7.3        Products must not be exposed to rain, direct sunlight, or a direct source of radiant heat during transport and storage. The appropriate storage temperature is -20˚C to +40˚C in closed spaces protected from increased humidity.

7.4        The quality of samples provided by the Seller, the quality of the first delivery, or the quality of the last delivery preceding the claimed delivery serves as a reference for evaluating the quality of the claimed delivery.

7.5        The Buyer is obliged to inspect the Goods upon acceptance and report any defects immediately, no later than 7 days after acceptance.

7.6        Claims must be submitted in writing and must include a description of the defect, the invoice number, and other information necessary to investigate the claim such as the roll or carton number or pallet number.

7.7        The Buyer is obliged to perform an incoming inspection before using the Goods to ensure the quality and suitability of the Goods for their application.

7.8        The Seller is liable for defective Goods only up to their value and bears no responsibility for any additional costs incurred by the Buyer due to the processing or use of defective Goods.

8.     Personal Data Protection

8.1        The Seller processes the Buyer’s personal data in accordance with applicable legal regulations on personal data protection.

8.2        The Buyer provides his personal data voluntarily and agrees to its processing for the purpose of fulfilling the purchase contract.

9.     Final Provisions

9.1        These Terms are valid and effective from April 1, 2024.

9.2        In the case of a specific purchase contract concluded between the Seller and the Buyer, its provisions take precedence over these General Terms and Conditions.

9.3        Legal relations not regulated by these Terms are governed by the relevant provisions of the Commercial Code and the applicable legislation of the Slovak Republic.

9.4        Amendments and supplements to these Terms can only be made in writing and must be approved by both contracting parties.
